Terms of Use
These terms apply to every business that opens an account with SewingERP. Opening an account, or using the system, constitutes acceptance of them. They are deliberately written in plain language; if anything is unclear, ask us before you agree.
1. The parties and the service
"We" or the "Operator": Nerya Cohen, trading as Nerya ERP, support@sewingerp.com. "You": the business that opened the account (the salon) and the users it has added. The service is an online management system for bridal and evening-wear salons, as described on the website and in the plan you have chosen.
The service is intended for businesses only, not for consumers. Anyone who opens an account on behalf of a business represents that they are authorized to bind it.
2. Trial period
A new account receives a 14-day free trial, with no credit card required. At the end of the trial, if no subscription has been activated, access to the account is blocked. The data is kept for a further 30 days so that you can activate a subscription or export it, and is then deleted. We do not charge for the trial period.
3. Subscription and payment
- The subscription is monthly or yearly, on the plan and billing period you chose, at the price shown on the pricing page and at checkout when you order. Prices are in US dollars and exclude tax; the final price, including applicable tax, is shown at checkout before you confirm.
- There is no setup fee. Onboarding support is a separate service, priced by quote and invoiced separately by us, not through Paddle.
- Orders and payments are handled by Paddle.com, our online reseller and the Merchant of Record for all our orders. Paddle collects the payment, sends the invoice or receipt, and handles applicable tax and refund requests. Paddle's buyer terms, shown at checkout, also apply to the purchase.
- Paddle charges only your SewingERP subscription. The system does not process or transfer payments from your brides, clients or shops: it only records payments you collected yourselves.
- Payment is in advance for each billing period (a month or a year), by credit card or another payment method shown at checkout. The subscription renews automatically at the end of each period until canceled.
- Moving to a higher plan or to yearly billing takes effect immediately and is charged pro rata. Moving to a lower plan or to monthly billing takes effect at the next renewal.
- We will give 30 days' notice of any price change by email, and it will apply from the next renewal.
- Failed payment: Paddle will retry the charge and we will send a reminder. If payment is not settled within 21 days, we may suspend access until it is. Data is not deleted during a suspension.
4. Your data
- The data belongs to you. Everything you have entered into the system (brides, measurements, dresses, photos, signatures, finances) is yours. We process it only to provide you with the service, in accordance with section 5 and the Privacy Policy.
- Export at any time. An owner or system administrator can download all the data as CSV files from the settings, without asking permission and free of charge.
- Support access. Our support team accesses business data only for support purposes, in view-only mode, and every such access is recorded in your audit log.
5. Privacy protection and processing of information on your behalf
With respect to the information about your brides, customers, employees and suppliers, you are the "database controller" and we are the "holder", within the meaning of the Israeli Privacy Protection Law, 5741-1981, as amended by Amendment 13. This section constitutes the processing agreement between us, until a separate data processing agreement (DPA) is signed, if one is signed.
Your responsibilities, as controller:
- To collect information only for a lawful purpose related to the service you provide, and no more than is required for that purpose (for example, not a full ID number and not medical information without need).
- To inform the person the information relates to at the time of collection, as required by section 11 of the Law: who you are and how to contact you, why the information is being collected, whether providing it is mandatory and what happens if it is not provided, to whom it will be transferred (including the fact that it is stored in a provider's online system), and that they have a right of access and correction. The notices displayed by the system on public pages do not release you from this obligation.
- To obtain consent for photographs and, in the case of minors, the consent of a parent.
- To fulfill the obligations that the Law and the Data Security Regulations impose on a controller: a database definitions document, managing your users' permissions, reporting a severe security incident to the Authority where required, and appointing a privacy protection officer if your business is required to do so.
- To handle requests for access, correction and deletion within the time limits set by law, using the tools in the system.
- To send marketing messages only to those who have consented to receive them, as required by section 30A of the Israeli Communications Law (Telecommunications and Broadcasting). Reminders about an appointment or a delivery are service messages; do not include advertising in their wording.
- The integrations you activate (invoicing, shipping, payment processing, webhook, API) operate on your instructions and under your responsibility.
Our responsibilities, as holder:
- To process the information only in order to provide the service and in accordance with your instructions. The instructions are your use of the system itself (what you enter, share and delete) and written instructions sent to the support email address. We will not use the information for our own purposes, will not sell it and will not transfer it except as set out in the Privacy Policy.
- To maintain confidentiality: anyone who accesses the information on our behalf is bound by confidentiality, with the minimum access permission required.
- To secure the information in accordance with the Privacy Protection Regulations (Data Security), 5777-2017. The measures are detailed in the Privacy Policy.
- To notify you of any security incident affecting your information without delay, and to assist you in reporting to the Privacy Protection Authority.
- To forward to you, within 5 business days, any request from a bride or customer that reached us directly, and to assist you in responding to it.
- To use only the sub-processors on the list in the Privacy Policy, under an agreement that binds them to similar protection. We will give 30 days' notice of any new sub-processor; if you object, you may terminate the subscription without penalty.
- Upon termination of the engagement, to return the information (export) and delete it as described in section 8, and to confirm the deletion in writing at your request.
6. Permitted use and users' responsibilities
- Keep your passwords and portal links (sewing workshops, shops, brides, time clock, shop-floor reporting, appointment booking, signature) safe. A link that has leaked should be replaced immediately from within the system.
- Each user works with a personal account. Do not share an account between several people: the audit log relies on this.
- You may not use the system for unlawful activity, for storing content unrelated to the business, for attempting to access another business's data, or for deliberately overloading the service.
- The API and its keys may be used by the business only and within the published rate limits.
- Digital signature: the system records who signed, when, and which version of the text. The wording of the agreement, and its legal validity as against the customer, are your responsibility; we recommend that a lawyer approve it.
7. Availability, backup and support
We aim for 99.5% availability per month, excluding planned maintenance, of which we will give advance notice. A full backup is made every night and kept for 14 days on the server and 60 days in an encrypted off-site copy. Support by email on business days; we aim for a first response within one business day and, for an outage that stops your work, as soon as possible.
The system is provided "as is". We improve it continuously and may change features; we will give 30 days' notice of the removal of a material feature.
8. Termination, data return and deletion
- You can cancel the subscription at any time, from the settings or by email. Cancellation takes effect at the end of the paid billing period. Any payment can be fully refunded within 14 days of the charge. Details in the Refund Policy.
- We may terminate the agreement with 60 days' notice, or immediately in the event of a material breach (prolonged non-payment, prohibited use, a risk to the security of the service).
- For 30 days after termination all the data can still be exported. After 30 days it is deleted from the system, and from the regular backups within a further 60 days. The encrypted monthly backup copy is deleted after 12 months. Financial records that we are required by law to keep are retained for the period prescribed by law.
- At your request, we will confirm the deletion in writing.
9. Intellectual property
The system, the code, the design and the SewingERP brand are ours. You receive a non-exclusive, non-transferable license to use it for the term of the subscription. The data and photos you have entered are yours, and you grant us a license to store and display them solely for the purpose of providing the service. We may implement feedback and ideas you share with us without any obligation to you.
10. Limitation of liability and indemnification
We are not liable for indirect or consequential damage or loss of profit. Our total liability to you, on any cause of action, is limited to the amount you paid us in the 12 months preceding the event. This limitation does not apply to damage caused willfully or by gross negligence, nor to anything that the law does not permit to be limited.
You are responsible for the content you enter, for the accuracy of measurements and prices, and for fulfilling your obligations as controller under section 5. You will indemnify us against any third-party claim, or any fine, arising from your breach of these terms or of the law.
11. Governing law and jurisdiction
This agreement is governed by Israeli law. The competent courts in Israel have exclusive jurisdiction. Before going to court, the parties will try to resolve any dispute through direct discussion within 30 days.
12. Miscellaneous
These are the full terms between us, together with the privacy policy, the refund policy, the pricing page and the quote (if any). Paddle's buyer terms also apply to the purchase itself. We will update them from time to time; we will give 30 days' notice by email of any material change, and continued use after that date constitutes acceptance. If any clause is found invalid, the rest remain in force. Questions: support@sewingerp.com.
